1. Acceptance of Terms

By accessing or using the services provided by ZAKFN Labs ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you and ZAKFN Labs, governed by the laws of India, specifically under the jurisdiction of the courts in Chandigarh/Mohali, Punjab.

2. Scope of Services

ZAKFN Labs provides strategic digital advisory, revenue architecture consulting, and growth system implementation services ("Services"). Our Services are advisory in nature.

No Performance Guarantee: While we employ industry best practices to drive growth, we do not guarantee specific financial outcomes, revenue targets, or lead volumes. Digital markets are volatile, and results depend on numerous factors including your implementation of our advice, market conditions, and third-party platform algorithms.

3. Client Obligations

You agree to:

• Provide accurate, timely, and complete information required for us to perform the Services.
• Grant necessary access to analytics, advertising, and website platforms.
• Make payments according to the agreed schedule.
• Indemnify us against any claims arising from content or products you provide.

4. Intellectual Property

Our IP: All methodologies, frameworks, code libraries, and proprietary tools used by ZAKFN Labs to deliver the Service remain our exclusive intellectual property.

Your IP: You retain ownership of your specific customer data, creative assets provided by you, and the final specific deliverables (e.g., reports, configured systems) upon full payment.

5. Payment & Taxes

Fees are non-refundable generally, except as explicitly stated in our Refund Policy. All fees are exclusive of applicable taxes (GST), which will be charged at the prevailing rate (currently 18% in India). International clients may be subject to different tax treatments based on Place of Supply rules under IGST.

6. Limitation of Liability

To the maximum extent permitted by law, ZAKFN Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Liability Cap: Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount paid by you to ZAKFN Labs in the three (3) months preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless ZAKFN Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including specialized legal fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

8. Termination

We reserve the right to suspend or terminate your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

Seat of Arbitration: Chandigarh, India.
Language: English.
Exclusive Jurisdiction: Subject to arbitration, the courts in Chandigarh/Mohali shall have exclusive jurisdiction.
